These General Terms and Conditions (“Terms”) apply to all offers, orders, and agreements between DNL Shop and the customer via the website https://dnlshop.eu.

By placing an order on our Website, you agree to these Terms. Please read them carefully before purchasing.

1. Definitions

  • Customer / you: any natural person or legal entity placing an order via the Website
  • Consumer: a natural person acting for purposes outside their trade, business, craft, or profession

3. Applicability

  1. These Terms apply to every offer on the Website and to every distance agreement concluded between DNL Shop and the Customer.
  2. Before the Agreement is concluded, the text of these Terms is made available. If this is not reasonably possible, we will indicate how the Terms can be reviewed and that they will be sent free of charge upon request.
  3. Deviations from these Terms are valid only if agreed in writing.
  4. If any provision of these Terms is found to be void or unenforceable, the remaining provisions will remain in full force. The invalid provision will be replaced by a valid provision that reflects the original intent as closely as possible.

4. Offers and products

  1. All offers on the Website are without obligation, unless expressly stated otherwise.
  2. We strive to describe products accurately, including essential characteristics, prices, and any limitations. Images are illustrative; minor differences in colour, packaging, or appearance may occur.
  3. An offer is valid while stocks last and may be withdrawn or changed at any time.
  4. Obvious mistakes or errors in pricing or product information do not bind DNL Shop.
  5. We reserve the right to refuse or cancel orders in case of suspected fraud, pricing errors, stock issues, or incomplete customer information.

5. Conclusion of the agreement

  1. The Agreement is concluded when the Customer completes the order process and we accept the order, usually by sending an order confirmation by email.
  2. If we cannot accept an order (for example due to unavailability), we will inform the Customer as soon as possible and refund any payment already received.
  3. The Customer is responsible for providing correct and complete contact, billing, and shipping details.

6. Prices and taxes

  1. Prices are displayed on the product pages and during checkout in the currency shown on the Website.
  2. Unless stated otherwise, prices include VAT where applicable for Consumers within the EU, in accordance with applicable VAT rules.
  3. Shipping costs, payment fees (if any), import duties, and other charges are indicated before the order is confirmed, or otherwise clearly communicated.
  4. For deliveries outside the EU or to destinations where additional customs duties or local taxes apply, such costs may be charged to the Customer by customs or local authorities. These costs are the Customer’s responsibility unless expressly stated otherwise.

7. Payment

  1. Payment must be made using one of the payment methods offered on the Website. See our Payment methods page for details.
  2. Orders are generally processed after successful payment confirmation, unless another arrangement is agreed.
  3. If payment is delayed or fails, we may suspend delivery and/or cancel the order.
  4. In case of late payment by business customers, we may charge statutory interest and reasonable collection costs where permitted by law.

8. Delivery and shipping

  1. Delivery takes place in accordance with our Shipping Policy.
  2. Delivery times are estimates and not strict deadlines, unless expressly agreed otherwise in writing.
  3. The risk of loss or damage to the Product passes to the Customer upon delivery, or when the Product is placed at the Customer’s disposal in accordance with the Agreement.
  4. If delivery fails due to incorrect address details provided by the Customer, additional shipping costs may apply.

9. Right of withdrawal (Consumers)

  1. If you are a Consumer in the EU/EEA, you generally have a statutory right to withdraw from a distance purchase within 14 days without giving a reason, subject to legal exceptions.
  2. The withdrawal period starts the day after you (or a third party designated by you, other than the carrier) receive the Product. For multiple goods ordered together but delivered separately, the period starts when the last Product is received.
  3. To exercise the right of withdrawal, notify us within the withdrawal period by a clear statement (e.g. email to support@dnlshop.eu) including your name, order number, and the Products concerned.
  4. You must return the Products without undue delay and in any event within 14 days after notifying us of withdrawal, in accordance with our Returns Policy.
  5. You are liable for any diminished value of the Products resulting from handling beyond what is necessary to establish the nature, characteristics, and functioning of the Products.
  6. We will reimburse the payments received for the returned Product(s), including standard shipping costs charged for delivery to you (but not additional costs for a non-standard delivery method chosen by you), without undue delay and within 14 days after we are informed of the withdrawal. We may withhold reimbursement until we have received the Products or you have supplied evidence of having sent them back, whichever is earlier.
  7. Return shipping costs are generally borne by the Customer, unless we have agreed otherwise or the Product is defective/incorrect.

9.1 Exceptions to the right of withdrawal

The right of withdrawal does not apply (among other cases provided by law) to:

  • Products made to the Consumer’s specifications or clearly personalised
  • Products that spoil quickly or have a limited shelf life
  • Sealed products that are not suitable for return for reasons of health protection or hygiene, if unsealed after delivery
  • Sealed audio/video recordings or sealed computer software, if unsealed after delivery
  • Newspapers, periodicals, or magazines (except subscription contracts)
  • Digital content not supplied on a tangible medium, if performance has begun with the Consumer’s prior express consent and acknowledgment of loss of withdrawal rights
  • Other exceptions as provided under applicable consumer law

10. Conformity, complaints, and warranty

  1. We warrant that Products comply with the Agreement, the specifications stated in the offer, and reasonable requirements of usability and/or reliability.
  2. Consumers benefit from the statutory guarantee of conformity under applicable EU/Dutch consumer law. Commercial warranties, if any, are additional and do not affect statutory rights. See our Warranty conditions.
  3. Complaints about visible defects should be reported as soon as possible after discovery, preferably within a reasonable time after delivery, with a clear description and supporting photos where relevant.
  4. If a Product is defective or non-conforming, we will, in accordance with applicable law, repair, replace, or refund as appropriate.

11. Liability

  1. DNL Shop’s liability is limited to what is permitted under mandatory law.
  2. We are not liable for indirect damage, consequential damage, lost profits, or data loss, except in cases of intent or deliberate recklessness, or where mandatory consumer law provides otherwise.
  3. Nothing in these Terms excludes or limits liability where such exclusion or limitation is not permitted by law, including liability for death or personal injury caused by negligence where applicable.

12. Force majeure

We are not obliged to fulfil any obligation if we are prevented from doing so by circumstances beyond our reasonable control, including but not limited to natural disasters, war, terrorism, strikes, epidemics, government measures, transport disruptions, power failures, cyberattacks, or failures of suppliers. If the force majeure situation continues for more than 30 days, either party may dissolve the Agreement for the affected part without liability for damages, without prejudice to Consumer rights where mandatory law applies.

13. Intellectual property

All intellectual property rights relating to the Website, including texts, images, logos, design, software, and other materials, belong to DNL Shop or its licensors. Copying, distribution, or other use without prior written permission is prohibited, except as permitted by mandatory law.

14. Personal data

We process personal data in accordance with our Privacy Policy and Cookie Policy.

15. Applicable law and disputes

  1. These Terms and all Agreements are governed by the laws of the Netherlands, without prejudice to mandatory consumer protection rules of the Consumer’s country of residence within the EU/EEA.
  2. Disputes will preferably be resolved amicably. If that is not possible, disputes shall be submitted to the competent court in the Netherlands, unless mandatory law designates another competent court for Consumers.
  3. Consumers in the EU may also use the European Commission’s Online Dispute Resolution (ODR) platform: https://ec.europa.eu/consumers/odr.

16. Changes

We may amend these Terms from time to time. The version applicable to an order is the version in force at the time the Agreement is concluded. The current version is always available on this page.
